Incorporation of company
TICCA provide the services of incorporation of company.
All companies in Singapore must be registered with the Accounting & Corporate Regulatory Authority. While there are five different business entities to choose from, the most common and flexible business entity that can be set up in Singapore is the Private Limited Company.
The fee starts from $ 1500 per annum.

Directorship appointment
TICCA provides nominee director services to satisfy local requirements in the Companies Act for a fee.
The fee starts from $ 6000 per annum.
 
Company secretary appointment
TICCA provides the service of resident company secretary.  The appointment of company secretary includes the preparation of annual general meetings and the filing of annual returns to Accounting and Corporate Regulatory Authorities. Other services, like update and maintain the Statutory Register, custody & control over the Common Seal, Custody & maintenance of the Minutes of the Directors and Shareholders.
The fee starts from $ 720 per annum.

Registered office address
TICCA provides the service of registered office address.
In Singapore, it is a requirement to have a registered office address when you lodged with the Accounting and Corporate Regulatory Authority (ACRA) for registration of company. This address must always be an effective address for delivering of official correspondence documents to the company and its Directors/Shareholders.
Thefee is $ 600 per annum.
 
Ad hoc corporate secretarial services
TICCA also provides ad hoc corporate secretarial services such as opening of bank account, preparation of resolutions for the appointment and resignation of officers, change of company name, change of particulars of the company such as members and officers, declarations of dividends and directors’ fees, share allotments & transfers, and other corporate secretarial services are separately charged.

Some examples of Ad hoc Corporate Services are as below:

1. EGM resolution and ACRA filing for:
·       Appointment of director/auditor
·       Change of company name/constitution
·       Declaration of director(s)’ fees

2. Director(s)’s resolution and ACRA filing for:
·       Appointment/resignation of company secretary
·       Resignation of director(s)
·       Change of particulars of shareholder/officer
·       Change of registered office/principal activities/financial year end

3. Share allotment

4. Share transfer

5. Strike off of company, company must be solvent

6. Other secretarial services:
·       Meetings, Consultation, Advisory, Drafting of customised resolutions or Attendance

Accounting
 TICCA is using EZ software for preparing client accounts. Also, we will assist to setup the accounting system.
 The fee depends on number of transactions & clarity of information.

Compilation of unaudited financial statements
 TICCA provides the service of preparing unaudited financial statements.
 The fee starts from $ 600 per annum.
 
Corporation Taxation
 TICCA will assist in preparation & filing of Estimated Chargeable Income (ECI), preparation of Tax
Computation, filing of Form C-S / C.
 The fee starts from $ 300 per annum.
 
Miscellaneous Charges
Except of the services fee mentioned above, there are other costs which will be chargeable 
as and when it is incurred during the course of the works, there are:
Filing fee charged by ACRA.
ACRA products, example: Business profile extract.
Penalty & stamp duty.
Courier charges.
Transport to client office.
 
Refundable Compliance Deposit of $ 10,000 is payable if nominee director and/or 
nominee shareholder appointed.
It is refundable upon company closure and full compliance of or resignation of nominee. ​
